These Terms of Use (“Terms”) govern access to and use of the Engage software platform and related services provided by Immersive Audiology, Inc. (dba Immersive Hearing Technologies) (“Immersive,” “we,” “us,” or “our”). By accessing, installing, subscribing to, or using Engage, you agree to be bound by these Terms.
1. License Grant
Subject to compliance with these Terms and payment of applicable subscription fees, Immersive grants you a limited, non-exclusive, non-transferable, revocable license to access and use Engage solely for your internal business purposes in connection with hearing healthcare counseling, patient education, and demonstration activities.
No ownership rights are transferred to you under these Terms.
2. Subscription and Payment
Access to Engage is provided on a subscription basis. Subscription fees, billing frequency, and payment terms will be specified during purchase or in a separate agreement.
Failure to pay applicable fees may result in suspension or termination of access to the software.
Immersive reserves the right to modify subscription pricing upon reasonable advance notice.
3. Ownership and Intellectual Property
Engage, including all software, source code, audio recordings, hearing aid demonstrations, graphics, user interfaces, trademarks, logos, text, and related content, is owned exclusively by Immersive Hearing Technologies and is protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, publish, sell, lease, sublicense, or otherwise exploit any portion of Engage except as expressly permitted by these Terms.
4. Restrictions on Use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the software;
- Modify or create derivative works based on the software;
- Circumvent licensing, authentication, or security mechanisms;
- Share access credentials with unauthorized users;
- Redistribute or publish audio demonstrations or software content outside of Engage;
- Use the software in violation of applicable laws or regulations.
5. Educational Use Only
Engage is intended solely as an educational, demonstration, and patient counseling tool.
The software is not intended to diagnose, treat, cure, prevent, or monitor any disease or medical condition and is not a substitute for professional clinical judgment.
Clinical decisions remain solely the responsibility of the hearing healthcare professional.
6. Hearing Aid Demonstration Disclaimer
The listening demonstrations and audio experiences presented within Engage are designed to illustrate potential hearing aid performance in selected environments.
Demonstrations may not accurately represent the listening experience of any individual patient, hearing aid model, hearing loss configuration, fitting, or real-world listening condition.
Results and experiences may vary.
7. Regulatory Status
Engage is not intended to function as a medical device and has not been reviewed, cleared, or approved by the United States Food and Drug Administration (FDA) or other regulatory authorities unless expressly stated otherwise.
8. No Warranty
Engage is provided on an “as is” and “as available” basis.
Immersive makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.
Immersive does not guarantee patient outcomes, hearing aid adoption rates, conversion rates, revenue increases, clinical outcomes, or other business results.
9. Third-Party Hardware and Services
Use of Engage may require third-party hardware, operating systems, internet connectivity, headphones, hearing aids, tablets, or related services.
Immersive is not responsible for failures, interruptions, compatibility issues, or performance limitations caused by third-party products or services.
10. License Verification
Engage may periodically require internet connectivity to verify licensing status, authenticate subscriptions, download updates, or maintain software functionality.
Failure to complete required license verification may result in suspension of access.
11. Limitation of Liability
To the maximum extent permitted by law, Immersive Hearing Technologies shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of Engage.
Immersive’s total liability under these Terms shall not exceed the amount paid by the customer for Engage during the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Immersive Hearing Technologies, its officers, directors, employees, contractors, and affiliates from claims, damages, losses, liabilities, and expenses arising from your use of the software, violation of these Terms, or violation of applicable laws.
13. Termination
Immersive may suspend or terminate access to Engage for non-payment, misuse of the software, violation of these Terms, or other reasonable business purposes.
Upon termination, all rights granted under these Terms shall immediately cease.
14. Confidential Information
You agree not to disclose confidential information relating to Engage, including non-public pricing, technical information, product roadmaps, software features under development, or proprietary business information.
15. Governing Law
These Terms shall be governed by and construed under the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.
Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky.
16. Changes to These Terms
Immersive may update these Terms from time to time. Updated versions will be posted on our website and will become effective upon posting unless otherwise specified.
Continued use of Engage after updated Terms become effective constitutes acceptance of the revised Terms.
